GO Holds AGM

Malta’s quad-play telecoms provider GO plc held its 12th annual general meeting at the Hilton Conference Centre on Monday.

The meeting approved the company’s annual report and financial statements for the year ended 31 December 2009 and all resolutions on the agenda, including the payment of the shareholders’ dividend, the appointment of the company auditors as well as the appointment of the company’s directors.

The AGM approved the payment of a net dividend of €0.10c net of taxation per share payable to shareholders of GO plc who were on the shareholders’ register as at Friday 16 April 2010. The dividend will be payable on 21 May 2010.

The AGM further approved the appointment of PricewaterhouseCoopers Certified Public Accountants as the company’s auditing firm. By virtue of an extraordinary resolution, the Board of Directors made amendments to the current Memorandum and Articles of Association making the specified deletions and incorporating additions as necessary, in accordance with changes in the listing rules which were amended as a consequence of the transposition of the Shareholder Rights Directive 2007/36/EC.

The following are the directors of GO plc until the next AGM: Deepak Padmanabhan (chairman), Paul Fenech, James Kinsella, Yiannos Michaelides, Dr Montasser Ouaili, Osman Sultan, Paul Testaferrata Moroni Viani and Michael Warrington.
